Free Reserves
Free Reserves means the available distributable reserves in an organization's latest audited balance sheet.
Free Issue Materials
Free Issue Materials means materials provided by [organization] to [party] for incorporation in [project or product], free of charge.
Funds Transfer
Funds Transfer means shifting funds electronically, initiated by an originator for the beneficiary's benefit.
General Expenses
General Expenses means direct or indirect costs incurred by an [organization], excluding specific exceptions, related to operational or administrative activities
Force Majeure Event
and includes war, natural flood, exceptionally adverse weather, strike or lockout (other than strike or lockout which is limited to the Mutual's staff or any staff of any Permitted Sub-Contractor), civil disorder, act of God, power cuts or delays or other event or occurrence which is outside the reasonable control of the Party concerned (and which is not attributable to any act or omission by the Party concerned including failure to take preventative action). For the Mutual only, any failure of the Council to perform its obligations under the Back Office Services Agreement will also be a Force Majeure Event where such failure prevents the Mutual from performing its obligations under this Agreement;
Good Leaver
a person who ceases to be an Employee at any time during the Relevant Period and who is not a Bad Leaver and shall include, without limitation, when the Board (including Investor Director Consent) determines that a person is not a Bad Leaver;
Future Provider
any future provider appointed by the Council to deliver the Services or any part of them following the expiry of the Contract Term or the earlier termination of this Agreement in accordance with clause 23;
Freight Costs
Freight Costs means all expenses related to the delivery of goods.
Game Card
Game Card means a physical or digital card containing a code providing access to game time or in-game currency.
